Terms of Service

1. Acceptance; who “you” and “we” are

These Terms form a binding agreement between you (“you,” “your,” “Member”) and AI Code that Works, LLC, a Texas, United States limited liability company (“AI Code that Works,” “AICTW,” “we,” “us,” “our”).

You accept these Terms in two ways, either of which binds you: (a) by clicking to accept during onboarding, and (b) by connecting the MCP Service to your editor or agent and using any of its tools. If you do not agree, do not accept the Terms and do not use the Service.

If you accept on behalf of a company or other entity, you represent that you have authority to bind it, and “you” refers to that entity.

Our Privacy Notice is incorporated into these Terms by reference. Access to the MCP Service is also subject to your membership in our Skool community and the applicable third-party terms of Skool and any payment processor — see Section 4.

2. Definitions

• “MCP Service” / “Service” — the remote MCP server, its tools/commands, your access token, the onboarding and recovery flows, the member content library, and the administrative surface.
• “Access Token” / “Token” — the long-lived bearer credential we issue to you, shown to you once, that authenticates your calls to the Service.
• “AI Output” — any suggestion, recommendation, plan, checklist, script, code, configuration, assessment, score, research prompt, security reasoning, or other material the Service produces with the assistance of automated systems or artificial intelligence.
• “Member Context” — the repository signals, project context, code excerpts, and other material your editor or agent chooses to send to the Service when you invoke a command.
• “AICTW Content” — the member content library we make available through the Service (versioned bundles, external references, and derived transcripts).
• “Member Data” — your account, entitlement, token, acceptance, and usage records, as described in the Privacy Notice.

3. What the MCP Service is — and what it is NOT

The MCP Service is an assistive tool that scores your repository against the AICTW method and helps you plan, provision, convert, and secure your projects. Two facts about how it works are material to these Terms:

• It is remote and has no access to your filesystem or systems. The server never connects to, reads, writes, or executes against your machine, your repository, or your infrastructure. When a command needs repository signals, your own editor or agent gathers and sends only what the command asks for. Read commands analyze that context and return a result; mutating commands return ordered edit instructions for your own agent to apply. The Service is never the actor that changes your code — you or your agent are, on your own machine, at your initiation.
• It is guidance, not execution. The Service produces plans, reports, and instructions. It does not run builds, tests, scanners, or deployments against your systems (see Section 9.C).

4. Membership, provisioning, billing, and entitlement

• Premium-only; no free tier. The MCP Service is available only to active premium members. There is no free, trial, or anonymous access path.
• Access is provisioned automatically from your membership; your Token is issued after you accept these Terms. Your entitlement is established by your premium membership status in our Skool community, which flows to us through our customer platform (GoHighLevel). When your premium status is recognized, we provision your account and entitlement; your Access Token is then issued to you during onboarding, once you accept the current version of these Terms (Section 1). When your premium status ends, lapses, downgrades, or your membership is cancelled, your access and Token are revoked and the Service stops working for you.
• Billing is handled by the membership, not by us directly. You pay for premium membership through the platform where you subscribed (Skool and/or its payment processor). Those charges, renewals, refunds, taxes, and cancellations are governed by that platform’s terms and your agreement with it, not by these Terms. We do not process your card and do not control that platform’s billing.
• Cancellation. You cancel by cancelling your premium membership through the platform where you subscribed. On cancellation or lapse, your MCP access ends and your Token is revoked; we retain Member Data only as described in the Privacy Notice.
• No guarantee of continued availability. We may add, change, suspend, or discontinue the MCP Service, any command, or the content library at any time.

5. Your Access Token

• The Token is your credential; keep it secret. Your Token authenticates every call you make to the Service. Treat it like a password. You are responsible for all activity that occurs under your Token.
• It is shown once. We show your Token to you a single time at issuance and store only a one-way hash of it — we cannot recover or re-display the original. If you lose it, use the recovery flow to issue a new Token, which immediately revokes the old one.
• Do not share, resell, or transfer it. Your Token and your access are personal to you (or to your entity’s authorized use) and may not be shared with, resold to, or transferred to any other person or organization.
• We may revoke it. We may revoke any Token — on membership lapse, on reissue, on suspected compromise or misuse, on breach of these Terms, or at our discretion — with or without notice.
• Tell us if it’s compromised. If you believe your Token has been exposed or misused, use the recovery flow immediately and contact us.

6. License to use the Service

Subject to these Terms and your active premium membership, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the MCP Service and to use its AI Output for your own lawful projects. All rights not expressly granted are reserved. This license ends automatically when your access ends.

7. Acceptable use

You will not, and will not permit anyone to:

• share, resell, sublicense, or provide access to the Service or your Token to any third party;
• use the Service to build, train, or improve a competing product or service, or to benchmark it for a competitor;
• reverse-engineer, decompile, scrape, or attempt to discover the underlying analysis, prompts, models, rule sets, security knowledge, or content library, except to the extent this restriction is prohibited by applicable law;
• probe, scan, penetration-test, overload, rate-abuse, or attempt to gain unauthorized access to our Service, servers, or systems, or circumvent any authentication, rate limit, or entitlement check;
• submit to the Service any content you do not have the right to submit, or any unlawful, infringing, or malicious content;
• use the Service to violate any law or any third party’s rights; or
• misrepresent your identity, membership, or entitlement.

We may suspend or terminate access for any actual or suspected violation.

8. Member Context — your rights, our license, and no model training

You retain all right, title, and interest in the Member Context your agent sends to the Service. You grant us a non-exclusive, worldwide, royalty-free license to process the Member Context solely to produce your requested result and to operate, secure, and support the Service.

• How we process Member Context (see the Privacy Notice for the full detail). For the structured analysis commands (assess, recommend, scan), the Service processes the gathered signals transiently to return your result and does not persist your source code from them — only a derived detected-stack summary is retained. For the free-text ask command, the text of your question — and any repository context you submit with it — may be stored as part of the AI-operation record for that call (see the Privacy Notice). Either may contain a code excerpt you chose to type or attach, so treat everything you send with an ask like anything else you store with us. Secret-shaped content is rejected or redacted at the boundary as a safety net — but you remain responsible for scrubbing secrets before your agent sends anything.
• We do not sell your Member Context, and we do not use it to train AI foundation models. Aggregated, de-identified operational and usage data (which does not identify you or your project) may be used to operate, secure, and improve the Service.

You represent and warrant that you have all rights necessary to submit the Member Context to the Service — including any consents required from your employer, client, or the data’s owner.

9. AI Output — no warranty, your responsibility, and the income/ROI disclaimer

THIS SECTION DESCRIBES THE MOST IMPORTANT LIMITS ON WHAT THE SERVICE — AND ANY AI OUTPUT — DOES AND DOES NOT DO. PLEASE READ IT CAREFULLY.

A. AI Output is assistive only and may be wrong

The Service is an assistive tool that produces AI Output with the help of automated systems and artificial intelligence. AI can be wrong. AI Output may be inaccurate, incomplete, outdated, insecure, non-functional, or unsuitable for your particular situation, and may resemble or incorporate third-party material. We do not warrant, guarantee, or represent that any AI Output is correct, complete, secure, functional, non-infringing, or fit for any purpose.

B. You are responsible — use version control, review, and test before you apply anything

You are solely responsible for evaluating, testing, and deciding whether and how to use any AI Output, and you bear all risk of doing so. Because the Service never touches your systems, every change to your code, project, configuration, or systems is made by you or your own agent, on your own machine, at your initiation. As a condition of using the Service, before applying, executing, merging, or relying on any AI Output you agree to:

• use version control (or equivalent backups) so any change can be reviewed and reverted;
• review the AI Output yourself (or have a qualified person review it) for correctness, security, and suitability; and
• test the result in a safe environment before relying on it.

We are not responsible for, and disclaim all liability for, any consequence of AI Output or of your use of the Service, including: changes to your projects; broken, failed, or non-building code; bugs, regressions, downtime, or outages; data loss or corruption; lost work; or security vulnerabilities, exposures, or incidents introduced or missed by AI-generated changes or recommendations. These risks are yours to manage through version control, review, and testing.

C. Our security capability is guided reasoning + a checklist — NOT a scanner we run against your systems

Some tools help you reason about the security of your own project. These tools provide guided reasoning, recommendations, and a checklist for you (or your agent) to work through — they do not run a security scanner, penetration test, or automated vulnerability assessment against your code, your repository, your systems, or your infrastructure, and they do not access, connect to, or test your live systems. Any analysis is performed only on the context you choose to provide, and any change or check is performed by you or your agent, on your own machine. We do not warrant that using these tools will find, prevent, or remediate any vulnerability, and we are not responsible for any security issue in your project, whether or not you used these tools. You remain solely responsible for the security of your own code and systems.

D. Income, revenue, ROI, and results — NO projections from us, and no guarantees

AI Code that Works does not provide, and nothing in the Service is, financial, income, revenue, earnings, valuation, ROI, or results projections, advice, or guarantees.

Where the Service helps you think about the commercial potential of an idea or project, any dollar figure, revenue estimate, ROI number, projection, or forecast is generated by your own AI system, at your initiation. We may guide the process and supply research or analysis prompts to your system, but your own system produces any figures — we do not produce them, endorse them, or verify them. Any such figure is illustrative and hypothetical only.

You must independently validate every projection, figure, or assumption before acting on it. AI can be wrong, and estimates it produces may be far off. We make no representation, warranty, or guarantee of any income, revenue, profit, ROI, business result, or other outcome, and your results depend on many factors outside our control — including your own effort, skill, market, and execution. Nothing in the Service should be read as a promise or implication of a particular financial outcome.

E. Not professional advice

AICTW Content and AI Output are provided for general informational and educational purposes and are not legal, financial, tax, accounting, security, or other professional advice. You are responsible for obtaining qualified professional advice for your situation.

10. Intellectual property and ownership

• We own the Service. We (and our licensors) own all right, title, and interest in the MCP Service, the server, the tools, the prompts, the models and rule sets, the security knowledge, the AICTW Content library, and all related intellectual property. These Terms grant you a license to use the Service — no ownership passes to you.
• You own your code and your Member Context (subject to the license in Section 8).
• AI Output. As between you and us, and to the extent we hold any rights in the AI Output the Service returns to you, we assign or license those rights to you so you may use that AI Output for your own lawful projects, as-is and at your own risk (Section 9). We make no representation that AI Output is original, non-infringing, or exclusively yours — similar output may be provided to others.
• Trademarks.“AI Code that Works,” “AICTW,” and our logos are our marks; you may not use them without our written permission.

11. Data handling; Privacy Notice

Our collection and use of Member Data (your identity, entitlement, token records, acceptance records, and usage records) and our transient processing of Member Context are described in the Privacy Notice, incorporated by reference. Please read it — it explains what we store, how we use it, our analytics and error-monitoring, retention, and your rights.

12. Disclaimers

THE SERVICE, THE AI OUTPUT, AND ALL AICTW CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that AI Output will be correct or reliable, or that defects will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• No indirect damages. Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost work, business interruption, or cost of substitute services, arising out of or relating to the Service or these Terms, even if advised of the possibility.
• Aggregate cap. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amounts you paid in the twelve (12) months before the event giving rise to the claim — both to AICTW for the MCP Service AND for the Skool Premium membership through which you access the Service — or (b) USD $1,000.
• Basis of the bargain. These limitations are an essential basis of the agreement and apply to all claims and theories of liability.
• Savings clause. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the maximum extent permitted by law.

14. Indemnification

You will defend, indemnify, and hold harmless AI Code that Works and its officers, members, employees, and agents from any third-party claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service or the AI Output; (b) your Member Context or your lack of rights to submit it; (c) your breach of these Terms or violation of law or any third party’s rights; or (d) any change you or your agent made to any system in reliance on AI Output.

15. Suspension and termination

• By you. You may stop using the Service at any time and may cancel your premium membership through the membership platform (Section 4).
• By us. We may suspend or terminate your access, revoke your Token, or discontinue the Service at any time — including for breach of these Terms, membership lapse, suspected compromise, legal requirement, or at our discretion.
• Effect. On termination, your license and access end, your Token is revoked, and Sections 8–14 and 16–18 survive. We retain Member Data only as described in the Privacy Notice.

16. Dispute resolution; arbitration; class-action waiver

PLEASE READ — THIS SECTION AFFECTS HOW DISPUTES ARE RESOLVED AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

• Informal resolution first. Before starting arbitration, you agree to contact us and try in good faith to resolve the dispute informally for at least 30 days.
• Binding arbitration. Any dispute arising out of or relating to the Service or these Terms that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single, mutually agreed arbitrator, seated in Austin (Travis County), Texas. Judgment on the award may be entered in any court of competent jurisdiction.
• Class-action waiver. Disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.
• Opt-out. You may opt out of this arbitration agreement by notifying us in writing within 30 days of first accepting these Terms; opting out does not affect the rest of these Terms.
• Limitation period. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
• Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for infringement or misuse of intellectual property, without first arbitrating.

17. Changes to these Terms

We may update these Terms. When we do, we will update the “Last updated” date and, for material changes, re-prompt you to accept the new version before we issue or re-issue your access token (the acceptance ledger records each version you accept). Your continued use after a change takes effect means you accept the updated Terms.

18. General

• Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, subject to Section 16.
• Entire agreement. These Terms and the Privacy Notice are the entire agreement between you and us about the MCP Service and supersede prior understandings about it.
• Severability. If any provision is unenforceable, the rest remains in effect, and the unenforceable provision is limited or removed to the minimum extent.
• No waiver. Our failure to enforce a provision is not a waiver.
• Assignment. You may not assign these Terms without our consent; we may assign them (e.g. in a merger or sale, including to or with our affiliated RevAStack family).
• Relationship to the consolidated AICTW Terms. If AICTW publishes a single consolidated Terms of Service covering both aicodethatworks.com and the MCP Service, that consolidated document governs to the extent it conflicts with these MCP-specific Terms; these Terms remain the MCP-scoped statement of the same posture.
